Implementing Smart Contracts in Infrastructure Projects from the Perspective of Construction Management

Die Arbeit untersucht den Einsatz von Smart Contracts in Infrastrukturprojekten zur Reduzierung von Kollaborationsproblemen. Auf Basis einer Netzwerkanalyse von VOB-Urteilen werden Problemcluster identifiziert, mittels Prinzipal-Agent-Theorie formalisiert und mit Smart-Contract-Funktionalitäten verknüpft. Ein prototypischer Prozess wird als Smart Contract umgesetzt und evaluiert. Ergebnisse zeigen Verbesserungen in Transparenz, Dokumentation und Vertrauen, trotz technischer Herausforderungen.

Smart Objects and Smart Finance for Supply Chain Management

Logistic transport processes are highly distributed and often subject to disturbances, as they are embedded in dynamic environments that prohibit tight control, as many third-party actors and influences exist. Classical approaches for planning and controlling supply chains based on centralized architectures often encounter their limits managing processes at runtime, due to inherent latencies. Decentralized approaches promise a more robust and timely control. The project SOFiA strives to elevate the machines and objects themselves to smart objects, equipped with an understanding of processes and capable of independent decision-making, rather than a centralized server-based system. This paper discusses the project’s decentralized control architecture and the integration of semantic process models with event-discrete simulations as well as smart payment technology to provide an integrated solution for planning, controlling, monitoring and accounting of logistic processes.

Die EVM fungiertals dezentrale Ausführungsumgebung und bildet die Grundlage für Smart Contracts,wobei die Gasgebühren eine zentrale Rolle für die Effizienz solcher Anwendungenspielen. Die Arbeit zeigt spezifische Implementierungstechniken, Best Practices undEntwurfsmuster zur Gasoptimierung für Smart Contracts auf und bietet einen erstenÜberblick über Methoden zur Entwicklung kosteneffizienter DApps auf der EVM.Die Implementierungstechniken umfassen Aspekte wie Datenspeicherung, Variablen-verwaltung, Kontrollstrukturen und weiter effiziente Operationen. Es werden zweiEntwurfsmuster Smart Contracts vorgestellt und anschließend wird auf Teststrategienund -umgebungen zur Qualitätssicherung und Leistungsmessung von Smart Con-tracts eingegangen. Es erfolgt abschließend die Bewertung und Zusammenfassung derErgebnisse aus denen Best Practices abgeleitet werden.

Tokenized assets that cannot be exchanged with one another are referred to as non-fungible tokens (NFTs). Tokens are differentiated from one another using a one-of-a-kind identifying number and the metadata that comes along with them. NFTs can be purchased, sold, and traded for fiat currency, digital currency, and other NFTs, all of which depend on their current value on the market and the expectations of their owners. The crucial distinction between cryptocurrencies and other tokens, however, is that fungible cryptocurrencies on the identical blockchain can be freely exchanged for one another. Even though two NFTs on the same blockchain may have an identical outward appearance, they cannot be traded for one another. This study aims to investigate the numerous dangers, opportunities, and moral dilemmas posed by NFTs in marketing. Therefore, at the end of this chapter, the reader will acquire a comprehensive knowledge of NFTs in marketing. In addition, you will have a solid understanding of the risks, rewards, and ethical considerations involved in NFTs in marketing.

Neue Organisationsformen für die digitale Welt? Decentralized Autonomous Organizations and Beyond

Zusammenfassung Dieser Aufsatz untersucht die Anwendung des deutschen Rechts auf neue dezentrale Unternehmensformen, wie sie als „DAO“ oder im Metaverse anzutreffen sind, und erarbeitet Vorschläge de lege ferenda zur Schaffung einer neuen Gesellschaftsform für dezentral organisierte Unternehmen. Die Anwendung des deutschen Gesellschaftsrechts führt zur Qualifikation als GbR oder nicht eingetragener Verein. Dabei qualifizieren nur Gründer-Entwickler sowie die ‚nodes“ als Mitglied bzw. Gesellschafter. Indirekte Partizipation über Wallets genügt nicht. Eine de lege ferenda zu schaffende Rechtsform muss den konkreten Dezentralisierungsgrad der Einflussmöglichkeiten berücksichtigen, wobei eine vollständige Dezentralisierung ein Mythos ist. Eine Rechtsform könnte daher nach Art einer KG gestaltet sein, mit den Gründer-Entwicklern und anderen Personen mit Code-Zugriff als Komplementären und nur-Nodes als Kommanditisten. Zugleich wird gezeigt, dass einer Ordnung dieser innovativen Unternehmensformen über das Gesellschaftsrecht die Alternative einer funktionsbezogenen Ordnung über das Vertrags- und Deliktsrecht gegenübersteht.

Digital transformation of modern corporation management tools: the current state and development paths

The subject. Digital technologies have been integrated into all aspects of public life, including politics, law, finance, business, education, science, and society. Yet, digitalization exerts an even greater impact on the economy, which should prompt the State, represented by its legislative and executive bodies, to take timely action to ensure the legal regulation of diverse aspects of the digital economy. Digital transformation of the economy has redefined the approaches to the issues of legal capacity, corporate governance and management of business processes. Traditional management mechanisms are no longer competitive, unless used in conjunction with dynamically developing digital technologies. This article explores the issues related to digital legal personality of a corporation (online registration (e-residency) of corporations and the digital footprint that companies leave in public registers), digital corporate governance, and discuss the operation of digital corporations, including networked and decentralized autonomous organizations. The authors distinguish three types of digital corporate governance: remote management (exercised by human individuals), smart management (based on algorithms designed by human engineers), and artificial intelligence (AI) management (that does not require human involvement). Some tools of digital corporation management are illustrated, replacing traditional forms of management of the human cognitive system. Finally, we provide an overview of the operational characteristics of decentralized autonomous organizations. Purpose of the research . This article is devoted to the transformation of management tools for modern corporations in the digital economy. In order to comply with the Russian corporate legislation of the existing digital reality, it is necessary to develop a comprehensive scientific and legal concept of corporate governance, ensuring the balance and protection of the rights and legitimate interests of all participants in corporate relations and others related to corporate relations, as well as increasing the transparency and efficiency of corporations. Methodology. The methodology of this study was based on the following methods of scientific knowledge: general scientific empirical methods (observation (over the course of development of the use of digital technologies in corporate law), comparison (of the effectiveness of the use of digital technologies in corporate law of different countries)); methods of theoretical knowledge (analysis (of advantages and disadvantages of digitalization of individual institutions of corporate law), formal legal method (in the formulation and research of various concepts, determination of their characteristics and classification), theoretical modeling (of the prospects and areas of possible application of digital technologies in corporate law). The main results . Digitalization of corporate management is bound to increase business profitability and improve competitiveness on the market. We believe that in the coming years science will have to tackle the issues of assessing the implications of the introduction of digital technologies, determining technical, economic and legal prerequisites for their implementation, and identifying their limits. In addition, issues related to professional training / retraining of personnel capable of working with modern technologies are of importance. Conclusions. The authors came to the conclusion that the main direction of improving corporate legislation in the context of digitalization is currently the creation and provision of conditions for effective interaction between corporate actors and persons directly associated with them in the digital environment.
