Primer bono en el mundo emitido íntegramente en blockchain por un banco

espanolBanco Santander, S.A. ha realizado, por primera vez en el mundo, una emision realizada integramente utilizando la tecnologia de registros distribuidos (distributed ledger technology o DLT) de blockchain por un banco. El uso en la emision de esta nueva tecnologia planteo numerosos retos juridicos a los que hubo que dar respuesta, derivados de un supuesto de hecho totalmente nuevo, la emision de un bono tokenizado, que suscita una problematica propia. Cuestiones relacionadas con la ley aplicable a la emision, la forma y representacion de los bonos digitales, los pactos relacionados con la suscripcion y desembolso, la tenencia, la custodia o el cumplimiento de los requisitos mercantiles y regulatorios han exigido planteamientos novedosos. La operacion ha tenido una acogida excelente tanto en el entorno tecnologico asi como en el financiero y por las autoridades supervisoras, por lo que puede ser el comienzo de una nueva practica en el mercado de capitales. EnglishFor the first time ever in the world, Banco Santander S.A. has carried out a first end-to-end issue using the blockchain distributed ledger technology (DLT). Using this new technology posed a number of legal challenges that had to be solved and which arise since this issue turned to be a brand new fact pattern that creates its own legal issues. Issues related to the law applicable to the issue, the form and representation of the digital bonds, the undertakings related to the subscription and payment, the holding, the custody or the compliance with the corporate and regulatory requirements have required original approaches. The transaction has been very well welcomed by the tech community, by the financial sector and by the supervisory authorities, so it may be the start to a new practice in the capital markets.
